By accessing our Site, creating an account, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated by reference into this Agreement. If you do not agree to these Terms, you must not access the Site or use the Services.

Please read this Agreement carefully and ensure you understand its terms. If you do not understand or do not accept any part of this Agreement, you should not use the Services.

Our services may also include assistance with business formation, entity registration, bookkeeping, and other accounting-related tasks as requested by you.

Important Notice: We do not provide legal, investment, or financial planning advice. The information and services provided are for tax preparation and filing purposes only. For legal or financial advice, please consult a licensed attorney or financial advisor.

3. Eligibility

To use our Services, you must be at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement. By using our Services, you represent and warrant that you meet these eligibility requirements.

If you are using our Services on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and that such entity agrees to be bound by these Terms.

4. User Accounts and Responsibilities

To access and use our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account password and for any activities or actions under your account, whether or not you have authorized such activities or actions. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

As a user, you are solely responsible for the accuracy and completeness of all information you provide to us, ensuring that you have all necessary documentation and records to support the information provided for your tax return, reviewing your completed tax return for accuracy before you authorize us to file it on your behalf, and paying all applicable taxes, penalties, and interest on time.

We are not responsible for any errors, omissions, or inaccuracies in your tax return that result from incorrect, incomplete, or misleading information provided by you.

5. User-Uploaded Content

Our Services allow you to upload documents, such as tax forms (W-2, 1099, etc.), receipts, identification documents, and other financial records (“User Content”). You retain all ownership rights to your User Content.

By uploading User Content, you grant SERVICEIN INC a limited, non-exclusive, royalty-free license to use, reproduce, store, and transmit such content solely for the purpose of providing the Services to you. This includes preparing your tax return, filing it with the appropriate tax authorities, and providing related accounting services as requested.

We are committed to protecting the confidentiality and security of your User Content in accordance with our Privacy Policy and applicable laws, including IRS Section 7216, which governs the use and disclosure of tax return information by tax return preparers.

You represent and warrant that you have the legal right and authority to upload any User Content, that such content is accurate and complete, and that such content does not infringe upon the rights of any third party.

6. Communication

By creating an account or using our Services, you consent to receive communications from us electronically, including via email. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

You are responsible for ensuring that the email address associated with your account is accurate and up-to-date. We are not responsible for any failure to receive communications due to an incorrect or outdated email address.

7. Fees and Payment

Certain of our Services are subject to payment of fees as described on our Site or in a separate agreement with you. You agree to pay all applicable fees for the Services you select. All fees are quoted in U.S. dollars unless otherwise specified.

All fees are non-refundable, except as required by law or as otherwise stated in our billing policies. We reserve the right to change our fees at any time, and we will provide you with notice of any fee changes before they become effective.

Payments are processed through a secure third-party payment processor. We do not store your full credit card or bank account information on our servers. By providing payment information, you represent and warrant that you are authorized to use the payment method provided.

8. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, software, and the compilation thereof, is the property of SERVICEIN INC or its licensors and is protected by copyright, trademark, and other intellectual property laws of the United States and international treaties.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services for your personal, non-commercial use, subject to these Terms.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as permitted by these Terms or with our prior written consent.

9. Prohibited Conduct

You agree not to use the Site or Services for any unlawful purpose or in violation of these Terms. Prohibited conduct includes, but is not limited to, uploading false, misleading, or fraudulent information, attempting to gain unauthorized access to our systems or other users’ accounts, interfering with or disrupting the integrity or performance of the Site or Services, using the Site or Services to transmit any viruses, malware, or other harmful code, and engaging in any activity that could damage, disable, or impair the Site or Services.

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including without limitation, reporting such user to law enforcement authorities.

10. Disclaimers and Limitation of Liability

Disclaimer of Warranties: THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, SERVICEIN INC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM YOUR USE OF THE SITE OR SERVICES.

Limitation of Liability: IN NO EVENT SHALL SERVICEIN INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SITE OR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF FEES PAID BY YOU TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to defend, indemnify, and hold harmless SERVICEIN INC, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from your use of and access to the Site and Services, your violation of any term of these Terms, your violation of any third-party right, including without limitation any copyright, property, or privacy right, any claim that your User Content caused damage to a third party, and any inaccurate, incomplete, or misleading information you provide to us.

This indemnification obligation will survive the termination of these Terms and your use of the Services.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Los Angeles County, California, before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the Award may be entered in any court having jurisdiction.

Class Action Waiver: YOU AND SERVICEIN INC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days’ notice prior to any new terms taking effect by posting the updated Terms on the Site and updating the “Last Updated” date. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Site or Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, such provision shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions.

16. Waiver

The failure of SERVICEIN INC to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by SERVICEIN INC.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Site, constitute the entire agreement between you and SERVICEIN INC concerning the Site and Services and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and us.
